Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at rizetech.co (the "Site") and the services provided by RizeTech LLC ("RizeTech," "we," "our," or "us"), an AI automation agency headquartered in De Pere, Wisconsin.

By accessing or using the Site or our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or our services.

RizeTech designs, builds, deploys, and maintains custom AI agents, automations, and software systems for businesses (the "Services"). Specific deliverables, scope, timelines, and fees are defined in a separate written Statement of Work, Master Services Agreement, or order form executed between RizeTech and the client. These Terms apply to all visitors and users of the Site, and supplement (but do not replace) any written service agreement.

You must be at least 18 years old and have the legal authority to enter into a binding contract to use our Services. By using the Site or engaging us, you represent and warrant that you meet these requirements.

RizeTech uses Twilio Inc. as its telephony and messaging provider. By providing your phone number, submitting a form, or otherwise requesting communication, you agree to receive SMS, voice calls, and/or MMS communications from RizeTech, including automated messages where applicable, related to your inquiry, project, scheduling, or account.

You agree not to:

• Use the Site or Services for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to the Site, our systems, or other users' accounts
• Interfere with or disrupt the integrity or performance of the Site or Services
• Use the Site or Services to transmit viruses, malware, or any other harmful code
• Reverse engineer, decompile, or attempt to extract the source code of any RizeTech systems
• Misrepresent your identity or affiliation with any person or organization

All content on the Site, including text, graphics, logos, software, and code, is the property of RizeTech or its licensors and is protected by U.S. and international intellectual property laws.

Ownership of custom software, AI systems, and automations delivered under a Statement of Work is governed by that agreement. Absent contrary terms in a Statement of Work, RizeTech retains ownership of its underlying tools, frameworks, libraries, and general know-how used across engagements.

Fees, billing schedules, and payment terms are specified in your Statement of Work or order form. Unless otherwise agreed in writing:

• All fees are due within thirty (30) days of invoice date
• Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law
• All fees are non-refundable except as expressly stated in your written agreement
• RizeTech may suspend Services if payment is more than thirty (30) days past due

Each party agrees to protect the other's confidential information with at least the same degree of care it uses to protect its own confidential information, and to use such information only for purposes related to the engagement. Confidentiality obligations survive the termination of any agreement.

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI systems and outputs are probabilistic and may produce inaccurate, incomplete, or unexpected results. You are responsible for human review of AI outputs in any context where errors could cause harm.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RIZETECH, ITS OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SITE OR SERVICES.

RIZETECH'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RIZETECH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to defend, indemnify, and hold harmless RizeTech, its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (a) your access to or use of the Site or Services; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual property or privacy right.

Our Services may rely on third-party tools and platforms (such as Twilio, OpenAI, Anthropic, Vapi, Supabase, Vercel, and others). Your use of those third-party services is subject to their own terms and policies. RizeTech is not responsible for the acts or omissions of third parties.

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Site at any time. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, limitations of liability, and governing law.

These Terms and any dispute arising out of or related to them or your use of the Site or Services are governed by the laws of the State of Wisconsin, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms will first be addressed through good-faith negotiation between the parties. If the parties cannot resolve the dispute within thirty (30) days, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Brown County, Wisconsin. Judgment on the award may be entered in any court of competent jurisdiction.

We may revise these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Continued use of the Site or Services after the changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated via a prominent notice on the Site or by email where appropriate.

• Entire Agreement — These Terms (together with any written agreement between you and RizeTech) constitute the entire agreement between you and RizeTech.
• Severability — If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver — Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
• Assignment — You may not assign these Terms without our prior written consent. RizeTech may assign these Terms freely.
